1.1. This section provides definitions of terms beginning with a capital letter. These definitions shall apply accordingly, regardless of whether they are used in the singular or plural form.
1.1.1. Company – Omnyx Corporation, a company incorporated under the laws of the British Virgin Islands, with registration number 2184082 and registered office at Intershore Chambers, Road Town, Tortola, British Virgin Islands.
1.1.2. Platform – a website and mobile application (the "App") provided by the Company under the name "Omnyx Wallet" that allows Users to (i) create or import a non-custodial Wallet, (ii) locally generate, store, and manage private keys and Seed Phrases on the User’s device, and (iii) sign and submit Transactions to Blockchain Networks and interact with Third-Party Services through the Interface. The Platform does not store, hold, or custody Digital Assets: Digital Assets are recorded on Blockchain Networks and can be accessed and controlled only with the User’s private keys/Seed Phrase. "Non-custodial" means that the Company does not have access to, and cannot control, the User’s private keys, Seed Phrases, or Digital Assets.
1.1.3. User – any natural person who accesses, downloads, or otherwise uses the Platform in accordance with these Terms of Use.
1.1.4. Digital Assets – any cryptographic tokens, cryptocurrencies, stablecoins, or other digital representations of value or rights, based on Blockchain networks and displayed on the Platform.
1.1.5. Wallet – a non-custodial wallet environment created or imported by the User within the Platform that enables the User to control Blockchain addresses and to manage Digital Assets associated with such addresses by using private keys or Seed Phrases stored locally on the User’s device. The Company does not store or have access to private keys or Seed Phrases and cannot recover them; the User is solely responsible for safeguarding them.
1.1.6. Decentralized Exchanges (DEX) – trading platforms operating on Blockchain networks that enable the exchange of Digital Assets directly between Users without centralized intermediaries.
1.1.7. Third-Party Services – external services, applications provided by independent third parties and accessible through or in connection with the Platform. The Company does not control and is not responsible for the operation of such Third-Party Services. Interaction with them is carried out by Users at their own risk and in accordance with the terms of such third parties.
1.1.8. Blockchain Networks – distributed ledger technologies that enable the creation, verification, and recording of transactions in a secure, decentralized, and immutable manner.
1.1.9. Seed Phrase – a unique sequence of words generated by the Platform (or imported by the User) that can be used to derive private keys and restore access to a Wallet. The Company does not store Seed Phrases and cannot recover them.
1.1.10. Private Key – a cryptographic key used to authorize and sign Transactions from a Wallet address. Anyone with access to a private key (or Seed Phrase) can control the associated Digital Assets. The Company does not store or have access to private keys.
1.1.11. Transaction – an instruction signed with a private key and submitted to a Blockchain Network to transfer Digital Assets, interact with a smart contract, or perform other on-chain actions.
1.1.12. Interface – the visible and interactive part of the Platform that allows the User to access and use its functions.
2.1. By accessing and using the Platform (Omnyx Wallet), you expressly confirm that you have read, understood, and accepted these Terms of Use. If you do not agree with these Terms or are not willing to comply with them, you must immediately cease using the Platform.
2.2. By accepting these Terms, you confirm that:
2.2.1. You have reached the age of majority and possess full legal capacity to use the Platform in accordance with the laws of the country of which you are a citizen or resident.
2.2.2. You are solely and fully responsible for ensuring that your use of the Platform complies with the applicable laws of your jurisdiction. The Platform is not intended for distribution or use by natural or legal persons in jurisdictions where such actions would violate local laws or impose on the Company obligations to register or comply with regulatory requirements.
2.2.3. You acknowledge and accept that all transactions carried out through the Platform are performed solely at your own risk. You understand that Digital assets are highly volatile, and operations may result in partial or complete loss of funds. You also assume full responsibility for all decisions made when using the Platform, including interactions with Third-Party Services.
2.2.4. You undertake not to use the Platform for money laundering, financing of terrorism, tax evasion, fraud, or any other unlawful purposes.
2.2.5. In the event that suspicious or unlawful activity is detected, the Company reserves the right to limit the functionality of the Platform or suspend your access, and, where required by applicable law, provide relevant information (such as technical logs that may be available to the Company) to competent authorities. You understand and agree that in the event of a violation of this provision, the Company shall not be liable for any possible consequences, including restricted access, denial of specific functionalities, sanctions, or refusal of service.
2.2.6. You undertake not to engage in any activity that threatens the security or integrity of the Platform or its Users, including but not limited to distributing viruses or other malicious code, initiating cyberattacks, phishing, or attempting to scan or test the vulnerability of any system or network associated with the Platform.
2.2.7. You undertake not to automate interactions with the Platform (including but not limited to through bots, data scraping, or similar methods) without the Company’s prior written consent.
2.2.8. By downloading and using the Platform through application stores (such as the Apple App Store or Google Play), you acknowledge and agree that you are also bound by the terms and conditions of the respective application store. The Company is not responsible for your compliance with such terms.
2.2.9. If you access the Platform via the Apple App Store, you acknowledge that these Terms are concluded between you and the Company only, and not with Apple. Apple is not responsible for the Platform or its content and has no obligation to provide maintenance or support services. To the extent permitted by applicable law, Apple has no warranty obligation with respect to the Platform. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
2.2.10. If you access the Platform via Google Play, you acknowledge that these Terms are concluded between you and the Company only, and not with Google. Google has no obligation or liability with respect to the Platform, including support, warranties, or claims arising from your use of the Platform, to the extent permitted by applicable law.
2.2.11. You have read the Privacy Policy and agree to its terms.
2.2.12. You confirm that you are solely and fully responsible for fulfilling all tax obligations that may arise in connection with your use of the Platform and any transactions you conduct. This responsibility includes, without limitation, determining applicable taxes, properly declaring, withholding, paying, and remitting such taxes to the relevant governmental authorities. The Company does not provide tax advice.
2.2.13. You acknowledge and agree that the Company acts solely as a technical provider. The Company does not store or manage your private keys, Seed Phrase, funds, or any other data related to the Wallet and has no access to them.
2.2.14. You agree to the risk disclosures and disclaimers set out in the "Risk Disclosure" and "Disclaimer" sections below.
3.1. The Company reserves the right, at its sole discretion, to amend, supplement, suspend, or delete any provisions of these Terms of Use at any time. All such changes shall take effect immediately upon their publication on the Platform and shall apply to any subsequent use of the Platform by the User.
3.2. The User is solely responsible for reviewing the most current version of the Terms of Use. Continued use of the Platform after any updates shall constitute the User’s binding acceptance of the revised Terms.
3.3. In the event of a violation of these Terms, the Company reserves the right to restrict or revoke the User’s access to certain functionalities of the Platform, in whole or in part, without any obligation to provide prior notice.
4.1. The Platform is a non-custodial software solution. It provides an Interface and local key-management tools that help Users interact with Blockchain Networks and manage their Wallet(s). The Platform may display information about Digital Assets and may enable Users to initiate Transactions (such as transfers, swaps, or purchases) by signing Transactions with the User’s private keys.
4.2. The Platform does not custody Digital Assets, does not have access to Users’ private keys, Seed Phrases, or funds, and does not provide financial, investment, legal, or tax advice. The Platform serves solely as an Interface for interacting with Blockchain Networks and Third-Party Services. All Transactions are initiated and authorized exclusively by the User based on the User’s own decisions, settings, and actions.
4.3. You acknowledge that Digital Assets are not stored in the Platform or by the Company. The Company cannot freeze, reverse, cancel, or otherwise modify any Transaction on a Blockchain Network, and cannot recover Digital Assets or Wallet access if you lose your Seed Phrase or private keys.
4.4. Without limitation, the Platform enables the User to generate or import private keys and Seed Phrases locally on the User’s device, create and manage blockchain addresses, and build, sign, and submit Transactions to Blockchain Networks through the Interface.
4.5. The Platform may display blockchain data (including balances, token metadata, transaction history and status, and fiat value estimates) that is retrieved from Blockchain Networks and/or Third-Party Services. Such information is provided for convenience only and may be delayed, incomplete, inaccurate, or unavailable.
4.6. You acknowledge that the Company does not act as your agent, intermediary, broker, or counterparty in relation to any Transaction. The Platform only broadcasts Transactions that you have independently initiated, reviewed, and authorized by signing them with your private key.
4.7. The Company may from time to time update, modify, suspend, or discontinue certain functions, supported Blockchain Networks, or Third-Party integrations, and may impose reasonable technical limits (for example, rate limits, supported token lists, or default network endpoints) to protect the stability and security of the Platform.
4.8. For the avoidance of doubt, the Platform does not:
4.8.1. store, custody, control, or transfer Digital Assets or fiat funds on behalf of Users;
4.8.2. provide a hosted account, deposit, or "stored value" service;
4.8.3. execute trades, act as a counterparty, or provide brokerage, exchange, clearing, settlement, or payment services;
4.8.4. screen, approve, or guarantee the quality, legality, security, or suitability of any Digital Asset, smart contract, Blockchain Network, or Third-Party Service.
4.9. Any interaction with Blockchain Networks or Third-Party Services may result in network fees, slippage, failed Transactions, phishing/scams, or other outcomes outside the Company's control, as further described in the Risk Disclosure section.
4.10.1. The Platform allows you to either (i) create a new non-custodial Wallet, in which case a unique Seed Phrase (and related private keys) is generated for you, or (ii) import an existing Wallet using a Seed Phrase (and/or other supported key material, if available in the Platform). The Platform is a non-custodial interface: the Company does not store, custody, hold, transmit, or control your private keys, Seed Phrase, or Digital Assets, and cannot access your Wallet or initiate Transactions on your behalf.
4.10.2. You acknowledge and agree that:
4.10.2.1. Your Seed Phrase/private keys are the only means to access and control Digital Assets associated with your Wallet on the relevant Blockchain Networks.
4.10.2.2. The Company cannot view, retrieve, reset, replace, recover, or restore your Seed Phrase/private keys, Wallet, PIN code, device passcode, biometric credentials, or any Digital Assets.
4.10.2.3. If you lose your Seed Phrase/private keys (or they are compromised), you may permanently lose access to your Wallet and Digital Assets. Such losses are your sole responsibility.
4.10.3. After creating or importing a Wallet, the User is required to set a PIN code for secure access. The User bears full responsibility for safeguarding their Seed Phrase, PIN code, and the security of the device used to access the Wallet, as anyone obtaining this information may gain full control over the Wallet and the associated Digital Assets.
4.10.4. When importing an existing Wallet, the Platform may not support every Blockchain Network, account type, token standard, derivation path, or wallet format. As a result:
4.10.4.1. Some addresses, accounts, or assets that exist in your imported wallet may not appear in the Platform, may appear with delays, or may require manual configuration (such as adding a token contract address) to be visible.
4.10.4.2. The Platform may display multiple accounts/addresses derived from the same Seed Phrase, but you are responsible for ensuring you are using the correct account/address and network for each Transaction.
4.10.4.3. The Company does not guarantee that importing a wallet will display all balances, transaction history, or token/NFT metadata accurately or at all.
4.11.1. Your Seed Phrase and private keys must be treated as highly sensitive secrets since they are the only means to control your Wallet and Digital Assets on the relevant Blockchain Networks. Anyone who gains access to your Seed Phrase or private keys can irreversibly transfer your Digital Assets without your permission.
4.11.2. You must securely back up your Seed Phrase (and any optional passphrase, if used) and keep it confidential. Do not share it with anyone, do not store it in an insecure location, and do not enter it into websites, third-party apps, or forms. The Company's support team will never ask you to disclose your Seed Phrase or private keys.
4.11.3. If you lose access to your device, delete the Platform, reset your device, or otherwise lose your Seed Phrase/private keys (or if they are compromised), you may permanently lose access to your Wallet and Digital Assets. The Company cannot recover, reset, or restore your Seed Phrase, private keys, PIN code, or access to your Wallet.
4.11.4. It shall be specifically noted that The Company's support team will never ask you to disclose your Seed Phrase/private keys. If anyone requests them, you should treat it as fraud and refuse.
4.11.5. If you suspect that your Seed Phrase/private keys, device, PIN, or backups have been compromised, you should act immediately (for example, by transferring Digital Assets to a new Wallet you control using a new Seed Phrase). The Company cannot freeze, reverse, or stop Transactions on Blockchain Networks and cannot secure your assets for you.
4.12.1. The Platform stores private keys and related Wallet data locally on your device and may rely on the security features of your operating system (for example, device encryption, secure enclaves, biometric authentication, or access controls). However, no security feature is foolproof, and you remain solely responsible for securing your device and backups.
4.12.2. If you enable any device-level backup, cloud sync, or third-party backup solution (including, without limitation, Apple iCloud, Google backup services, or other cloud providers), you understand that such backups are provided by third parties under their own terms and security practices, and may increase the risk of unauthorized access. The Company does not control these services and is not responsible for any loss arising from your use of them.
4.13.1. Through the Interface of the Platform, the User may:
4.13.1.1. Add supported Digital Assets to the Wallet, including the option to manually add Digital Assets by specifying its contract address;
4.13.1.2. Browse and select Blockchain Networks, as well as switch between them;
4.13.1.3. View balances and organize Digital Assets within one or multiple Wallets;
4.13.1.4. Create additional Wallets that you may access using the Platform and switch between them;
4.13.1.5. Monitor the total value of the portfolio across all added Wallets;
4.13.1.6. Prepare, sign, and submit Transactions to Blockchain Networks (including transfers and smart-contract interactions), subject to your confirmation and network conditions.
4.13.2. The Platform is an Interface only. The Company does not custody or control Digital Assets, does not guarantee the visibility or availability of any asset or network, and does not provide financial, investment, legal, or tax advice. You bear full responsibility for the accuracy of data you enter and for all actions you take, including selecting assets, networks, addresses, Transaction parameters, and third-party services.
4.14.1. The Platform may display token names, symbols, logos, decimals, prices, contract addresses, balances, and other metadata that may be sourced from Blockchain Networks and/or Third-Party Services (including token lists, explorers, indexers, pricing providers, or RPC services). You acknowledge that:
4.14.1.1. Such information may be inaccurate, incomplete, delayed, mislabeled, or misleading;
4.14.1.2. Tokens and contracts may be spoofed, and malicious tokens may imitate legitimate projects;
4.14.1.3. Displaying a token or NFT in the Platform does not mean the Company endorses it, has reviewed it, or has verified its security, legality, or authenticity;
4.14.1.4. The Company may, at its discretion, change data sources, supported token lists, or visibility rules, which may affect what you see in the Interface.
4.14.2. When adding a Digital Asset manually (for example, by entering a token contract address), you are solely responsible for verifying that
4.14.2.1. The contract address is correct and belongs to the intended token;
4.14.2.2. You are on the correct Blockchain Network and token standard; and
4.14.2.3. The token is not a scam or malicious contract.
4.14.2.4. Adding an incorrect or malicious contract address may cause incorrect balances, loss of assets, or exposure to scams. The Company does not verify, audit, or endorse user-added tokens and is not responsible for losses associated with them.
4.15. Portfolio Values and Pricing. Any portfolio value display, fiat estimates, charts, price quotes, or performance information is provided for convenience only. Prices may differ from executable prices, may not reflect liquidity, may be stale, and may vary by exchange, market conditions, and fees. The Company does not guarantee accuracy or availability of pricing data and is not responsible for any decision you make based on such information.
4.16. Unsolicited Assets and Scams. Y You may receive unsolicited tokens, NFTs, or other Digital Assets ("airdrops" or "spam assets") to your Wallet address. These may be designed to trick you into visiting malicious websites or signing approvals/interactions that can lead to loss of assets. You should exercise caution, avoid interacting with unknown assets, and independently verify legitimacy before taking any action. The Company is not responsible for losses arising from scams, phishing, social engineering, or your interaction with malicious assets or contracts.
4.17. Network Selection and Compatibility. Digital Assets may exist on multiple Blockchain Networks and token standards. You are solely responsible for selecting the correct Blockchain Network, address format, and compatible asset type. Using an incompatible network, bridge, contract address, or token standard may result in permanent loss.
4.18.1. Through the Interface of the Platform, the User may perform operations with Digital Assets, including:
4.18.1.1. Sending: selecting a Digital Asset and Blockchain Network, entering the recipient's Wallet address and the transfer amount to execute an outgoing transaction;
4.18.1.2. Receiving: selecting a Digital Asset and Blockchain Network, after which a unique QR code may be generated or the User's Wallet address copied and shared;
4.18.1.3. Exchanging: initiating a swap of one supported Digital Asset for another by interacting with a Third-Party Service (such as a DEX, aggregator, or liquidity provider) selected by the User through the Interface. The Platform may display quotes provided by such Third-Party Services, but the execution occurs on Blockchain Networks and/or third-party infrastructure and is subject to slippage, fees, and other parameters.
4.18.1.4. Purchasing: acquiring Digital Assets through Third-Party Services (for example, payment processors, on-ramps, or other providers) made available within the Interface of the Platform. Any payments, KYC/AML checks, chargebacks, refunds, and related matters are handled solely by such providers under their own terms and policies.
4.18.2. When you submit Transactions, you may need to set or approve parameters such as gas fees, priority fees, limits, slippage tolerances (where applicable), and other settings. You acknowledge that:
4.18.2.1. Network fees ("gas") are paid to Blockchain Network participants and are not collected by the Company unless explicitly stated;
4.18.2.2. Transactions may fail, be delayed, be reordered, or be confirmed at an unfavorable time due to network congestion, validator/miner behavior, protocol rules, or other factors;
4.18.2.3. A failed Transaction may still incur network fees;
4.18.2.4. The Company does not guarantee confirmation time, ordering, or success of any Transaction.
4.18.3. The Interface serves solely as a tool for carrying out such operations. The User bears full responsibility for the accuracy of the data provided (including recipient addresses) and for interactions with Third-Party Services integrated into the Platform. The User undertakes to independently review the terms of service, policies, and other documents of such Third-Party Services before using them.
4.18.4. Certain Transactions (including interacting with DEXs, bridges, staking protocols, and other smart contracts) may require token "approvals" or allowances that permit a smart contract to spend tokens from your address. Approvals can expose you to loss if you approve a malicious contract or approve excessive allowances. You are solely responsible for:
4.18.4.1. Reviewing approvals/allowances and smart-contract prompts;
4.18.4.2. Understanding the permissions you grant; and
4.18.4.3. Revoking approvals when appropriate (if supported by the relevant Blockchain Network/tools).
4.18.4.4. The Company does not audit or guarantee the safety of any smart contract, token, protocol, or approval request.
4.19.1. The Platform also provides supporting functions, including but not limited to:
4.19.1.1. Exporting the User's private keys associated with the Wallet, subject to confirmation through established security methods (e.g., PIN code);
4.19.1.2. Viewing detailed Digital Assets information, including contract addresses and Digital Asset metadata;
4.19.1.3. Adding or removing specific Digital Assets from the Wallet Interface;
4.19.1.4. Accessing and reviewing transaction history directly within the Wallet Interface.
4.20.1. The User may configure individual preferences within the Platform, including but not limited to:
4.20.1.1. Interface language;
4.20.1.2. Display currency for balances;
4.20.1.3. Security methods (PIN code, biometric authentication, additional security options);
4.20.1.4. Selection, visibility, or removal of specific Digital Assets within the Wallet Interface.
4.20.1.5. The Platform may periodically introduce new tools and functionalities. All available updates and features will be displayed in the Interface of the Platform.
5.1. The Platform, including the App, software, code, algorithms, user interface, design elements, trademarks, service marks, logos, trade names, text, graphics, audio, video, and other content (collectively, the “Platform Content”), is owned by the Company and/or its licensors and is protected by applicable intellectual property laws (including copyright and trademark laws). Except for the limited license expressly granted to you in these Terms, no rights are granted to you.
5.2. Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Platform on a device you own or control solely for your personal, lawful use. The Company reserves all rights not expressly granted.
5.3. You agree that you will not, and will not permit any third party to:
5.3.1. copy, modify, adapt, translate, or create derivative works of the Platform or Platform Content;
5.3.2. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform, except to the extent such restriction is prohibited by applicable law;
5.3.3. rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Platform to any third party;
5.3.4. remove, alter, or obscure any proprietary notices, labels, or marks on the Platform or Platform Content;
5.3.5. use the Platform to develop, provide, or support a competing product or service;
5.3.6. use any automated means (including scraping, bots, spiders, or data mining) to access, copy, or monitor any portion of the Platform except as expressly permitted;
5.3.7. bypass or circumvent any access controls, security measures, or usage limits.
5.4. All Company names, logos, and related marks are trademarks of the Company or its licensors. You may not use them without the Company's prior written permission. All other trademarks appearing on the Platform are the property of their respective owners and are used for identification purposes only.
5.5. The Platform may display, link to, or integrate content, software, protocols, token lists, price feeds, explorers and other services provided by third parties (“Third-Party Services”). As between you and the Company, the Company does not own such Third-Party Services, and no rights or licenses are granted to you in them except as provided by their respective terms. Use of Third-Party Services may be subject to additional terms and policies, which you are solely responsible for reviewing and accepting.
5.6. The Platform may include or rely on open-source software components. Such components are licensed under the applicable open-source licenses, which may grant you additional rights or impose additional obligations. In the event of a conflict between these Terms and an open-source license, the open-source license will control with respect to the applicable component.
5.7. If you provide suggestions, feedback, or ideas regarding the Platform (“Feedback”), you grant the Company a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit the Feedback for any purpose without compensation or attribution to you.
5.8. If you believe that any Platform Content infringes your intellectual property rights, you may contact the Company using the contact details provided in these Terms and include sufficient information to identify the allegedly infringing material and your basis for the claim. The Company may remove or disable access to material alleged to be infringing and may terminate accounts of repeat infringers where appropriate.
5.9. If you access the Platform through Apple's App Store, you acknowledge that: (a) these Terms are concluded between you and the Company, and not with Apple; (b) Apple is not responsible for the Platform or its content; and (c) Apple and its subsidiaries are third-party beneficiaries of these Terms to the extent relating to the license of the Platform on iOS, and Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
6.1. IMPORTANT NOTICE: Digital Assets, Blockchain Networks, and related technologies involve significant risks. You may lose some or all of your Digital Assets, and you should only use the Platform if you understand and accept these risks. This section provides an important, non-exhaustive summary of key risks.
6.2. Key Risks:
6.2.1. Non-custodial Wallet: The Platform is a non-custodial software interface. You are solely responsible for maintaining the confidentiality and security of your Seed Phrase, private keys, PIN code, and the device on which the Platform is installed. If you lose, disclose, or allow unauthorized access to them, you may permanently lose access to your Wallet and Digital Assets. The Company cannot reset passwords, restore keys, or recover Digital Assets.
6.2.2. Irreversibility and address errors: Blockchain Transactions are typically irreversible. Sending Digital Assets to the wrong address, using an incompatible Blockchain Network, interacting with an incorrect token contract address, or entering incorrect data may result in permanent loss. The Company does not have the ability to reverse or “charge back” a Transaction.
6.2.3. Network fees and congestion: Blockchain Networks may experience congestion, delays, reorgs, forks, validator/miner failures, attacks, or other issues. Network fees may be highly volatile and may be required even if a Transaction fails.
6.2.4. Volatility, Liquidity, and Market Risks. Digital Assets can be highly volatile. Prices may change rapidly and unpredictably. Liquidity may be limited, and you may be unable to sell, swap, or transfer assets at your desired time or price. Any displayed fiat values, charts, or performance metrics may be delayed, inaccurate, or not representative of executable prices.
6.2.5. Smart contract and protocol risk: Interacting with smart contracts (including DEXs, bridges, staking protocols, lending protocols, NFT contracts, or other decentralized applications) carries risk, including vulnerabilities, exploits, hacks, governance attacks, economic design flaws, oracle manipulation, and unexpected behaviour. Smart contracts may not be audited or may contain critical bugs. The Company does not audit, control, or guarantee the safety of any smart contract or protocol.
6.2.6. Third-Party Services risk: The Platform may integrate or link to Third-Party Services (including on-ramps, DEX/aggregators, liquidity providers, and dApps). These third parties are independent and may change, suspend, refuse, restrict, or discontinue their services at any time, or be subject to outages, hacks, insolvency, or regulatory action. Your use of Third-Party Services is at your own risk and subject to their terms and policies.
6.2.7. Security threats: You may be exposed to phishing, malware, SIM-swap attacks, social engineering, fake websites/apps, malicious tokens/NFTs, and other scams. Always verify addresses, URLs, and contract details. If you sign a malicious message or transaction, you may lose assets. The Company is not responsible for losses caused by third-party attacks or your failure to implement reasonable security measures.
6.2.8. Forks, Upgrades, Consensus Failures, and Network Changes. Blockchain Networks may undergo forks, upgrades, halts, rollbacks, re-orgs, or consensus failures. Such events can cause loss of funds, transaction reversals at the protocol level, duplicate assets, or changes in asset availability. The Company has no control over these events and does not guarantee continued support for any network, fork, or asset.
6.2.9. Regulatory and tax risk: Laws and regulations relating to Digital Assets and Blockchain Networks are evolving and may change, which could affect the legality, availability, taxation, or functionality of Digital Assets or Third-Party Services in your jurisdiction. You are solely responsible for compliance with applicable laws and for any tax obligations.
6.2.10. Data accuracy: Information displayed in the Platform (including balances, token metadata, fiat value estimates, or Transaction status) may be delayed, incomplete, inaccurate, or unavailable due to Third-Party Services, Blockchain Networks, or other factors. You should independently verify information before taking any action.
6.2.11. Unforeseen risks: There may be additional risks that we cannot anticipate. You should carefully assess whether using Digital Assets and Blockchain Networks is appropriate for you.
6.2.12. By using the Platform, you acknowledge that you have read, understood, and accepted the risks described above, and that you assume full responsibility for all actions and decisions made through the Platform.
6.2.13. Any information provided via the Platform is for general informational purposes only and does not constitute investment, financial, trading, legal, or tax advice. You should seek independent professional advice as appropriate.
7.1. The Platform is provided on an "as is" and "as available" basis, without any express or implied warranties.
7.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, PLATFORM CONTENT, AND ANY INFORMATION DISPLAYED (INCLUDING PRICES, BALANCES, CHARTS, TOKEN METADATA, AND TRANSACTION STATUS) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
7.3. By using the Platform, you acknowledge and agree to the following:
7.3.1. The Company does not provide services that require licensing or authorization as a virtual asset service provider. The Company acts solely as a developer and supplier of software. The Company is not a broker, dealer, agent, operator of a digital asset exchange platform, nor does it provide trade execution or clearing services, and therefore has no oversight, involvement, or control over the transactions that the User chooses to conduct through the Platform's functionality.
7.3.2. The Platform is non-custodial. You agree that you bear full and exclusive responsibility for safeguarding your Seed Phrase, private key, and the device on which the Platform is installed. You acknowledge that the Company has no access to this information and cannot recover your funds or Wallet data in the event of loss of access.
7.3.3. The Company does not store, custody, transmit, or control any Digital Assets. Digital Assets are controlled solely through your private keys/Seed Phrase and exist on Blockchain Networks, not on the Platform.
7.3.4. The Company cannot and does not provide recovery or restoration of Wallet access. If you lose your Seed Phrase/private keys or if they are compromised, you may permanently lose your Digital Assets.
7.3.5. Any fiat value estimates, token metadata, exchange quotes, or other information displayed in the Platform are provided for convenience only and may be inaccurate or incomplete. The Company does not guarantee their correctness or availability.
7.3.6. The Platform may rely on Third-Party Services (including RPC providers) to display data or submit Transactions. The Company does not guarantee uninterrupted access, availability, or performance of any Blockchain Network or Third-Party Service.
7.3.7. The Company does not own, operate, or control Third-Party Services accessible through the Interface of the Platform. The Company makes no warranties regarding their performance, availability, or security. Use of such services is entirely at your own risk, and you are solely responsible for reviewing their terms and policies. The Company shall not be liable for any losses, loss of funds, data breaches, or other damages arising from your interaction with such Third-Party Services.
7.3.8. All Digital Asset transactions are irreversible once initiated. The Company does not control Blockchain Networks, protocols, smart contracts, validators, miners, or Third-Party Services, and therefore cannot guarantee the confirmation, speed, or outcome of any transaction.
7.3.9. To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, punitive, or consequential damages arising from your use or inability to use the Platform, your interaction with Third-Party Services, or from User errors.
7.3.10. The Company shall not be liable for any delays or failures to perform caused by circumstances beyond its reasonable control. Such circumstances include, but are not limited to, acts of God, acts of civil or military authorities, acts of terrorism, civil disturbances, war, changes to blockchain protocols, smart contract bugs, failures of the internet or other infrastructure services, or other significant unforeseen events.
8.1. You agree to indemnify, defend, and hold harmless the Company and its affiliates, directors, officers, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to:
8.1.1. your access to or use of the Platform;
8.1.2. your breach of these Terms;
8.1.3. your violation of applicable laws, rules, or regulations;
8.1.4. your violation of the rights of any third party.
8.2. The core functionality of the Platform as a non-custodial Wallet does not require you to undergo any Know Your Customer (KYC) verification, and the Company does not collect or store Users’ personal identification data.
8.3. However, access to certain additional features or Third-Party Services may require you to complete KYC and Anti-Money Laundering (AML) procedures conducted by the respective service providers. Such verification is carried out solely by those third-party providers in accordance with their own legal obligations.
8.4. The Company does not receive, process, or store any personal documents or data provided for these purposes. Users are solely and fully responsible for completing such procedures and complying with all requirements set by Third-Party Services. Users further acknowledge and accept the risk of being denied access to such services if they fail or refuse to complete the required verification.
9.1. The Company reserves the right to suspend, limit, or completely terminate the User’s access to the Platform without prior notice in the following cases:
9.1.1. Violation of these Terms of Use by the User;
9.1.2. Detection of suspicious, fraudulent, or unauthorized activity related to the use of the Platform;
9.1.3. Actions that threaten the reputation, security, or integrity of the Platform or other Users;
9.1.4. Mandatory requirements of applicable law or lawful requests from regulatory or law enforcement authorities.
9.2. The User may cease using the Platform at any time by removing the Platform from their device. Termination of use does not release the User from obligations that arose prior to the date of termination.
10.1. These Terms of Use, as well as any disputes, claims, or disagreements arising out of or related to the use of the Platform, shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict-of-law principles.
11.1. As stated in the “AML/KYC” section, if you choose to use additional services provided by Third-Party Services, you may be required to submit personal data directly to these providers for verification purposes. The Company does not receive, process, or store such data.
11.2. Matters related to the processing and protection of personal data are governed by a separate Privacy Policy.
12.1. In the event of any dispute, claim, or disagreement arising out of or in connection with the use of the Platform, the User agrees to first attempt to resolve the matter amicably by submitting a written complaint to the Company at support@omnyx.team.
12.2. The Company will review the complaint and provide a response within thirty (30) calendar days. If the parties are unable to reach a resolution within this period, the dispute shall be submitted to and finally resolved by the courts of the British Virgin Islands (BVI) in accordance with the applicable laws of the BVI.
